Operating Agreement

When do you fill out your operating agreement and articles of organization for your LLC? Do you do this when you register your LLC with the state or do you submit this info after you've already formed the LLC?

Answer

Articles of Organization are the first documents you complete in order to form your limited liability company.

After forming your LLC by filing Articles of Organization, you then will apply for an EIN using a Form-SS4 and write up your Operating Agreement.

In most states, you do not have to file your Operating Agreement with the state.

When you use a service such as Legalzoom to form your LLC, they will guide you through all these forms, particularly if you use their highest level service.

If this is your first company, or you simply don't like spending your time doing paperwork, then I recommend using a service like Legalzoom.
