Florida LLC for a Real Estate office with 2 owners -1 is the lic'd broker the other a salesperson.

The online filing asks for manager or member manager. How does each person need to be listed so that the DBPR will approve this corporation?

A manager is a person who runs your LLC who is not a member. Think of a member as a "shareholder" or "owner" of your LLC.

If the owners have a non-owner run the LLC, that person is called the "manager".

In most closely held LLCs, one or more of the members act as the manager, and they do not have an outsider (non-shareholder) manager their LLC.

Therefore, the proper response is "member manager", if a member is running the LLC.

Just wondering what the florida law is. We would like to form an l.l.c. Can an agent be one of the owners? Can the broker work for the agency (LLC), and not be one of the owners?
