does an LLC need bylaws and long form articles of inc. and business plan in the state of minn. if you don't have this can your corporate veil be pierced?

Answer

My understanding is that you do not need a written operating agreement to form a valid Minnesota LLC.

However, a written operating agreement is a good idea for any LLC, particularly if there are multiple members.

I am not aware of any legal requirement for a business plan either, though a business plan is also a good idea.
