North Dakota LLC Filing Fees & Annual Reports
North Dakota has reasonable filing fee of $125. Fees are payable by
check, money order, and credit card (if incorporated online).
File ND Articles of Organization
North Dakota requires all limited liability companies to file annual
registration. An annual report will be required of a limited liability
company in the year following that in which the certificate of
organization is issued or effective. All LLCs engaged in businesses
other than farming are required to file the report on November 15.
Farming and ranching LLCs will file an annual report on April 15. The
Secretary of State will mail annual report forms to the registered
agent. The annual registration fee is $50.
Foreign LLCs Filing in North Dakota
Any limited liability company that has filed articles of organization under laws other than the laws of North Dakota is a "foreign" LLC for the purposes of North Dakota law. "Foreign" refers to limited liability companies organized in jurisdictions out-of-state as well as out-of-country.
A foreign limited liability company must obtain a Certificate of Authority from the Secretary of State:
- To transact business in North Dakota, or
- To obtain any license or permit issued according to North Dakota laws.
