North Carolina LLC Filing Fees & Annual Reports

As of March, 2006, the filing fee for NC Articles of Organization to form an LLC is $125. You must file one executed original of the Articles of Organization, Form L-01, signed by at least one member or organizer, with the Division of Corporations by mail or in person. The filing fee can be paid with a check, money order, or cash. The address for filing the Articles is:

North Carolina requires all limited liability companies to file annual reports. Annual Reports are due every April 15th and must be delivered to along with a $200.00 fee to the N. C. Department of the Secretary of State.

North Carolina LLC Name Requirements

Your corporate name must end with the words “limited liability company” or the abbreviation “L.L.C.” or “LLC”, or the combination “ltd. liability co.”, “limited liability co.” or “ltd. liability company”.

Your corporate name must be distinguishable from other corporate names in North Carolina-even if the other business is a C corporation and not an LLC. In other words, a business name is not distinguishable because it ends in "LLC" instead of "Inc." If you've seen the name elsewhere in North Carolina, assume you cannot use it and choose a different name for you LLC. You can check you name by calling the Corporations Division at (919) 807-2225.

Foreign LLCs Operating in North Carolina

North Carolina law requires foreign Limited Liability Companies register for a Certificate of Authority, Form L-09, with the NC Secretary of State, Corporations Division. The filing fee is $250.

Minimum Number - one or more
Members/Managers- at least one is required to be listed in the Articles of Organization
Age Requirements - none specified

Registered Agent

The registered agent may be an individual resident in this state or a domestic or foreign corporation authorized to transact business in North Carolina, having a business office identical with such registered office. The Articles of Organization must set forth the street address (and the mailing address if different from the street address) of the registered office, as well as the county in which the registered office is located, and the name of the registered agent.
